Terms of Service

These Terms of Service ("Terms") govern your access to and use of Catalyte (the "Service"), provided by Stefan Coroianu ("Catalyte", "we", "us"). By accessing or continuing to use the Service you agree to these Terms.
1. The Service
Catalyte is a product catalog platform that syncs product data to advertising, marketplace, storefront, and AI shopping surfaces via APIs, feeds, SFTP, and the Model Context Protocol.
2. Account & authority
You must be of legal age to enter into a contract, or, if signing up on behalf of an organisation, you must have authority to bind that organisation. You are responsible for keeping your credentials confidential and for all activity under your account. Provide accurate information and keep it up to date.
3. Acceptable use
You must not, and must not permit anyone to:
- Use the Service unlawfully, or for fraud, spam, or abusive purposes.
- Infringe intellectual-property or privacy rights of others.
- Interfere with the security of the Service — including probing, scanning, scraping, or introducing malware.
- Reverse engineer, resell, or redistribute the Service, or circumvent technical limits or quotas.
- Publish products that violate applicable law or the destination channel's policies.
4. Intellectual property
We retain all right, title, and interest in the Service, including software, documentation, and Catalyte branding. Subject to these Terms we grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of the catalog data you upload; you grant us a limited licence to host and process it solely to provide the Service.
5. Payments, subscriptions & taxes
Paid plans are billed on a recurring monthly or annual basis via our reseller, Paddle. Payment, billing, taxes, currency conversion, invoicing, cancellations, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically at the end of each billing period unless cancelled. Fees are non-refundable except as set out in our Refund Policy.
6. Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
7. Service level & warranties
The Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, timely, or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Liability
To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is capped at the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or exemplary damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
9. Indemnity
You will indemnify us against claims arising from your catalog data, your use of the Service in violation of these Terms, or your violation of applicable law.
10. Suspension & termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may terminate at any time by cancelling your subscription and closing your account. On termination your right to use the Service ends; we will delete or return catalog data on request within a reasonable period, subject to legal retention obligations.
11. Changes
We may update these Terms from time to time. Material changes will be announced in-product or by email. Continued use after the effective date constitutes acceptance.
12. Governing law
These Terms are governed by the laws of Romania, without regard to conflict-of-laws principles. The courts of Romania have exclusive jurisdiction, subject to any mandatory consumer-protection rights you may have under the laws of your place of residence.
